Please read these Terms carefully. By registering an account, submitting a project specification, or executing a service agreement with ApiHost, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.
ApiHost ("we", "us", "our") is a Backend-as-a-Subscription service that designs, builds, hosts, and manages custom API backends for developers, startups, and product creators. Our services are delivered under a fixed-term service agreement ("Service Agreement") that is executed between ApiHost and each individual client ("you", "Client") prior to the commencement of any build work.
All ApiHost engagements are governed by a Service Agreement that sets out the specific scope, deliverables, pricing, and term applicable to your project. These Terms of Service operate alongside and are incorporated into your Service Agreement.
Clients initiate the onboarding process by completing a Project Specification Form via the ApiHost onboarding portal. Submission of a specification does not constitute a binding agreement. A Service Agreement will be prepared based on your specification and must be reviewed and accepted by you before work begins.
ApiHost reserves the right to decline any project specification at its sole discretion, including but not limited to projects that are technically infeasible, in violation of applicable laws, or inconsistent with our acceptable use policies.
ApiHost targets an average delivery time of 7 business days from the execution of your Service Agreement and activation of your subscription. Timelines are indicative and depend on project complexity, completeness of your specification, and the responsiveness of communication between both parties.
Subject to full satisfaction of all financial obligations under your Service Agreement, the source code developed specifically for your project is assigned to you upon completion. ApiHost retains no ongoing rights to your custom codebase once all outstanding payments are settled.
Your Service Agreement specifies a fixed engagement term. You may elect not to renew at the end of your agreed term without penalty.
If you wish to terminate your Service Agreement before the agreed term concludes, an early termination fee applies. The amount is calculated based on the remaining term and is specified in your Service Agreement. ApiHost reserves the right to suspend services pending payment of any outstanding amounts, including early termination fees.
Upon full settlement of all outstanding obligations, ApiHost will provide a complete handoff package including source code, database export, and documentation within 10 business days.
Technical support is provided exclusively through your client dashboard and via email. ApiHost does not provide telephone support. All support requests, conversations, and resolutions are logged within your dashboard for transparency and traceability.

ApiHost reserves the right to suspend or terminate services immediately and without refund if these terms are violated.
To the maximum extent permitted by applicable law, ApiHost's total liability to you for any claims arising from or related to these Terms or your Service Agreement shall not exceed the total fees paid by you to ApiHost in the three (3) months preceding the event giving rise to the claim.
ApiHost shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of data, loss of revenue, or business interruption, even if advised of the possibility of such damages.
ApiHost may update these Terms of Service from time to time. Material changes will be communicated via email or through your dashboard with reasonable notice. Continued use of the service following notification of changes constitutes your acceptance of the updated Terms.
These Terms of Service are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through good-faith negotiation in the first instance, and thereafter through binding arbitration or the courts of competent jurisdiction as specified in your Service Agreement.
